# Terms of Service

*Effective Date: 01st July 2026*

These **Tapzi Terms of Service ("Terms")** govern your access to and use of the Tapzi platform ("Tapzi", "we", "us", or "our"), including participation in skill-based games, staking activities, the presale, developer services, and the wider Tapzi ecosystem. By accessing or using Tapzi — including any participation in its presale, gameplay, staking, or developer services — you agree to these Terms. If you do not agree, do not use Tapzi.

#### 🔹 Nature of the Tapzi Platform

Tapzi is a decentralized, skill-oriented Web3 gaming platform and launchpad built on the BNB Smart Chain. It allows users to stake $TAPZI tokens to participate in real-time competitive games and enables developers to list their own skill-based games.

**$TAPZI is a functional utility token designed exclusively for use within the Tapzi gaming platform and launchpad ecosystem.** It does **not** represent voting rights, governance authority, equity ownership, or any form of decision-making power over the Tapzi platform, protocol, operations, or treasury.

#### 🔹 Eligibility

You must be at least **18 years old** (or the age of majority in your jurisdiction, whichever is greater) and have full legal capacity to enter into these Terms. By using Tapzi you represent and warrant that: (a) you meet this age requirement; (b) you are not a Restricted Person and are not located in, or a resident of, a Restricted Jurisdiction (as described below); (c) you are not subject to any sanctions or listed on any sanctions list; and (d) your use of the platform does not violate any law that applies to you.

#### 🔹 Ownership and Use

Ownership of $TAPZI tokens grants **no equity, voting rights, or governance participation**. Tokens are intended solely for utility within Tapzi's gaming ecosystem and developer tools.

Tokens may only be used, transferred, or exchanged as permitted within the Tapzi ecosystem or as supported by authorized exchanges on listing.

#### 🔹 Restricted Jurisdictions & Sanctions

Access to Tapzi, the presale, and staking features is prohibited for persons located in or resident of jurisdictions subject to comprehensive sanctions, or where skill-based staking, token sales, or crypto-asset activity is unlawful, restricted, or licensed. This includes, without limitation, jurisdictions sanctioned by the U.S. Office of Foreign Assets Control (OFAC) and other applicable sanctions regimes.

Tapzi may use geo-blocking, wallet screening, and other controls to enforce these restrictions. It is **your sole responsibility** to ensure your use is lawful where you are located. Tapzi may restrict, suspend, or terminate access where Tapzi determines, in its reasonable discretion, that such action is necessary or appropriate for legal, compliance, sanctions, AML, fraud-prevention, security, platform-integrity, or operational reasons.

#### 🔹 Nature of the Games — Skill-Oriented Competition

Tapzi is designed to support skill-oriented competitive games where outcomes are intended to be determined predominantly by player skill, strategy, timing, decision-making, and performance.

Tapzi does not offer games, staking features, prize features, or token-based competitions in jurisdictions where such activity is prohibited, restricted, licensed, or otherwise unlawful. Users are solely responsible for confirming whether participation is lawful in their jurisdiction. Tapzi may restrict, suspend, modify, or remove any game, match type, staking feature, or reward feature for legal, compliance, fairness, or platform-integrity reasons.

#### 🔹 Token Distribution and Vesting

$TAPZI tokens are distributed via structured allocation plans, which may include presale events, user rewards, ecosystem grants, or marketing initiatives.

By participating in any presale or allocation event, you agree to abide by applicable vesting schedules, unlock periods, and any restrictions as outlined on Tapzi's official website and documentation.

#### 🔹 Platform Usage

Tapzi enables players to stake tokens and compete in skill-based games. Participation requires skill and decision-making, and outcomes are intended to be determined predominantly by player performance.

Tapzi may introduce, modify, or retire features, games, or third-party integrations over time. All services are provided **"as is"** and **"as available."**

#### 🔹 No Financial, Investment, or Legal Advice

Nothing on Tapzi or in its documentation constitutes financial, investment, legal, or tax advice. $TAPZI is a utility token, not an investment product, and no content should be relied upon as a recommendation to acquire, hold, or dispose of any asset. You are solely responsible for your own decisions and should consult your own advisers.

#### 🔹 No Investment · No Profit Guarantee

$TAPZI is intended for eligible utility within the Tapzi ecosystem and is not offered as an investment product, security, share, debt instrument, revenue-sharing right, dividend right, or financial product. Tapzi does not promise or guarantee profit, income, yield, appreciation, resale value, exchange listing, liquidity, or return of capital. You should not acquire $TAPZI with an expectation of profit from Tapzi's efforts or from any third party.

Nothing in these Terms limits any non-waivable rights you may have under applicable law.

#### 🔹 Final Transactions · No Cancellation, Reversal, or Buy-Back

Except where required by applicable law or expressly approved by Tapzi in writing, all $TAPZI acquisitions, presale participation, staking entries, tournament entries, gameplay settlements, token claims, and in-platform transactions are final once submitted, confirmed, executed, or recorded.

Tapzi's smart contracts do not include an automatic cancellation, chargeback, reversal, return, function. Blockchain transactions are irreversible, and users are solely responsible for reviewing wallet addresses, network selection, transaction amounts, gas fees, claim details, and transaction approvals before signing or submitting any transaction.

Tapzi does not operate a cancellation, reversal, reimbursement, compensation, or guaranteed manual recovery program. Tapzi does not guarantee token value, liquidity, exchange listing, resale ability, profit, return, staking outcome, reward availability, claim timing, feature availability, or continued platform utility.

Submitting a support request, complaint, legal notice, chargeback attempt, public claim, or demand does not create any right to cancellation, reversal, reimbursement, token allocation, token distribution, manual payment, or other remedy unless Tapzi confirms such remedy in writing or applicable law requires it.

#### 🔹 Token Risks

You acknowledge that acquiring or using $TAPZI tokens involves inherent risks, including:

* Market price volatility
* Regulatory uncertainty in your jurisdiction
* Technological risks associated with blockchain networks
* Smart-contract and protocol risk, including bugs, exploits, or failures despite audits
* Liquidity risk and the possibility of partial or total loss of token value
* Risk that the platform, features, or token utility may change, be suspended, or discontinued
* Tax consequences, which are your sole responsibility

You should carefully assess these risks before acquiring or using $TAPZI tokens.

#### 🔹 Third-Party Service Losses

Tapzi is not responsible for losses caused by third-party wallets, exchanges, bridges, blockchain networks, payment processors, KYC providers, analytics providers, hosting providers, social platforms, fake accounts, phishing links, impersonators, or other third-party services.

#### 🔹 Official Communications

Only statements published through Tapzi's official website, official documentation, official application, or official support email should be relied upon. Informal community messages, moderator comments, influencer content, third-party posts, speculative statements, social-media replies, and unauthorized communications do not modify these Terms, do not create refund or payment rights, and do not constitute financial, legal, investment, or tax advice.

#### 🔹 Roadmap and Feature Availability

Roadmaps, timelines, release dates, product descriptions, game lists, token utility descriptions, exchange discussions, listing applications, integrations, and development updates are non-binding targets only. Tapzi may delay, modify, suspend, remove, or discontinue any feature, game, token utility, staking mechanism, reward mechanism, integration, listing plan, or roadmap item at any time for technical, legal, compliance, security, business, or operational reasons.

#### 🔹 Compliance and Prohibited Conduct

You agree to comply with all applicable laws and regulations. You may not:

* Violate intellectual property rights or third-party rights;
* Attempt unauthorized access to Tapzi systems, smart contracts, or user accounts;
* Use bots, automated scripts, or unfair means to participate in games;
* Disrupt, manipulate, or exploit the Tapzi platform or its users;
* Harass, threaten, intimidate, coerce, defame, dox, extort, or attempt to extort Tapzi, its team members, contributors, service providers, users, or their families;
* Knowingly submit false claims, false reimbursement requests, false chargebacks, false legal allegations, or misleading information in an attempt to obtain a payment, reversal, reimbursement, token allocation, or other benefit.

#### 🔹 Enforcement & Consequences

Violation of the Compliance and Prohibited Conduct section may result in suspension or termination of access, forfeiture of platform privileges, and referral to law enforcement. Engaging in threats, harassment, intimidation, or knowingly false claims does not entitle you to any payment or remedy. Tapzi reserves all rights and remedies available at law and in equity, including recovery of costs and attorneys' fees where permitted.

#### 🔹 Security and Wallet Responsibility

You are solely responsible for securing your wallet and private keys. Tapzi is not liable for loss or theft of tokens resulting from unauthorized access to your wallet or device.

#### 🔹 Disclaimer of Warranties

Tapzi and all services, tokens, and tools are provided **"as is" and "as available" without warranties of any kind**, whether express or implied. We make no guarantees regarding uptime, availability, fitness for a particular purpose, future value of tokens, or uninterrupted access.

#### 🔹 Limitation of Liability

To the fullest extent permitted by applicable law, Tapzi shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, tokens, or value, arising from your use of the platform or participation in any events, including losses from price volatility, service interruptions, third-party services, or security breaches.

#### 🔹 Dispute Resolution & Arbitration

**Informal Resolution.** Before bringing any formal claim, you agree to first contact us at <team@tapzi.io> and attempt to resolve the dispute informally for at least 30 days.

**Binding Arbitration.** If not resolved, any dispute arising out of or relating to these Terms or the platform shall be finally settled by binding arbitration administered by the **American Arbitration Association (AAA)** under its **Consumer Arbitration Rules** (for consumer users) or its **Commercial Arbitration Rules** (for business or developer disputes), each as then in effect, in a location and manner determined in accordance with the applicable AAA Rules, conducted in English. Judgment on the award may be entered in any court of competent jurisdiction.

**Small-Claims Carveout.** Either party may bring an individual claim in small-claims court where permitted by applicable law.

**Class-Action Waiver.** To the extent permitted by law, disputes will be resolved only on an **individual basis**; you waive any right to participate in a class, collective, or representative action.

**Exclusive Process.** All disputes must be resolved through the process above. Threats, harassment, public pressure campaigns, or attempts to resolve disputes outside this process are not permitted and confer no rights.

#### 🔹 Modification of Terms

We reserve the right to modify these Terms at any time, with or without notice. It is your responsibility to review them periodically. Continued use of the platform after any changes constitutes your acceptance of the revised Terms.

#### 🔹 Governing Law

These Terms, and any dispute arising out of or relating to them or the platform, are governed by applicable law and resolved through the Dispute Resolution process above, without regard to conflict-of-laws principles, and subject to any non-waivable rights under the laws that apply to you.

#### 🔹 General

**Severability.** If any provision is held unenforceable, the remaining provisions remain in full effect. **Entire Agreement.** These Terms, together with the Privacy Policy and any referenced documents, are the entire agreement between you and Tapzi regarding the platform. **Assignment.** You may not assign these Terms without our consent; we may assign them freely. **Force Majeure.** Tapzi is not liable for delays or failures caused by events beyond its reasonable control, including network failures, blockchain outages, or regulatory action. **No Waiver.** Our failure to enforce any right is not a waiver of it. **Headings.** Section headings are for convenience only.
